These Terms of Use are entered into by and between you and Codex Corp d/b/a Guardian RFID (“GRFID,” “we,” “us,” “our,” or similar). The following terms, together with our Privacy Policy, which is incorporated by reference (collectively, these “Terms of Use”), govern your access to and use of the Website, including any content, functionality, or services offered on or through the Website. Please note that these Terms of Use apply only to our Website, use of our products and services are governed by separate terms and conditions that are not reflected in this document.
“You” and similar terms mean you as an individual, as well as the business or entity on whose behalf you are using the Website, and you represent and warrant that you are authorized to enter into this agreement on behalf of yourself and such business or entity. GRFID makes no representation that the information or materials on or linked through the Website are appropriate or available for use in other locations. Those who choose to access the Website from other locations do so on their own initiative and at their own risk and are responsible for compliance with all applicable laws, rules, and regulations in their respective location in doing so.
You represent and warrant that you have the right to submit and provide any information submitted or provided via the Website. You hereby grant GRFID a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, distribute, and otherwise exploit any such information for any lawful purpose.

GRFID names and logos, and all related product and service names, design marks and slogans are the trademarks or service marks of GRFID. All rights are reserved. You are not authorized to use any GRFID name or mark in any advertisement, publicity, or in any other commercial manner without prior written consent of GRFID. All other trademarks, trade dress, images, photographs, and other works appearing in connection with the Website are the property of their respective owners.
The entire contents and design of the Website is protected by U.S. and international copyright law. All rights regarding the Website and materials or information contained on the Website are either owned by GRFID, are licensed to it, or are used with permission. GRFID and its licensors, vendors, or other service providers retain and reserve all proprietary rights to the contents of the Website.

Chat Services
We may make interactive online chat (“Chat”) services available to you. We make no guarantee that the Chat services will be available at any particular time, for any particular period of time, or be free from fault or error.
While using the Chat services, you may interact with a bot, chatbot, virtual assistant, virtual concierge, or other non-human technology (each and collectively, a “Chatbot”). When engaging with the Chat service, be advised that all chats will be monitored and retained.
The Chat services are provided by us as a convenience for you. You may not use the Chat services to send abusive, defamatory, dishonest, or obscene messages, and doing so may result in termination of the Chat service.

Indemnification
You agree to defend, indemnify and hold GRFID, its parent and affiliate entities, and all of their owners, officers, directors, employees, contractors, operational partners, and service providers, harmless from and against any and all claims, damages, costs and expenses, including attorneys' fees, arising from or related to your (mis)use of the Website, your breach of these Terms of Use, or your violation of applicable laws, rules, or regulations.
Governing Law; Class Action Waiver
These Terms of Use are governed by and construed in accordance with the internal laws of the state of Minnesota without giving effect to any choice or conflict of law provision or rule. Any legal suit, action or proceeding arising out of or related to these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the state of Minnesota, in each case as located in Minneapolis, Minnesota. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
YOU ACKNOWLEDGE AND AGREE THAT EACH CLAIM IS PERSONAL TO YOU AND ANY CLAIM SHALL ONLY BE CONDUCTED BY YOU AS AN INDIVIDUAL AND NOT AS A CLASS ACTION OR OTHER FORM OF REPRESENTATIVE ACTION. YOU HEREBY AGREE TO RESOLVE ANY DISPUTE ON AN INDIVIDUAL BASIS AND WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR OTHER JOINT ACTION WITH RESPECT TO ANY CLAIMS.
ANY CLAIM BY YOU MUST BE RAISED WITHIN TWELVE (12) MONTHS FROM THE DATE ON WHICH THE CLAIM AROSE OR IT IS WAIVED AND VOID.
Third-Party Sites

Third-Party Sites include those sites used by our service providers or vendors to provide you certain services on our behalf. You agree that your use of Third-Party Sites is governed by the respective Third-Party Site privacy policy and terms and conditions. GRFID is not liable for your use of any Third-Party Site.
Miscellaneous
Under no circumstances will we be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other causes beyond our reasonable control.
If any provision of these Terms of Use is found to be unlawful or unenforceable, then that provision will be deemed severable from these Terms of Use and will not affect the enforceability of any other provisions.
The failure by us to assert or enforce any right or provision of these Terms of Use will not prevent us from asserting or enforcing such a right or a provision in the future.
We may assign our rights and obligations under these Terms of Use, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law. You may not assign your rights and obligations under these Terms of Use, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law, without our prior written consent.
These Terms of Use and the Privacy Policy constitute the sole and entire agreement between you and GRFID regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
